Business Valuation

You built it, worked hard, and survived the ups and downs. Now something has come up, requiring you to leave the business. What happens now depends on the arrangements you made in advance. Perhaps you’ll exit with the money you expected for all the years you invested, or maybe surviving heirs will benefit as planned.

Exit strategies are as important to consider at the start of a business as the products and services you offer.  It's never too early or too late to begin building value and planning for change.

Christine Limparis is a Certified Valuation Analyst (CVA) extensively trained to perform business valuations. Her experience includes contractors, service businesses, manufacturers, family partnerships, partial interests, ESOPs, family limited partnerships, and others.  When you call on Christine, you can expect a meaningful and third party credible valuation.

There are many reasons why a business owner needs to know their company’s value, regardless of immediate sale plans. Here are some of the many circumstances for obtaining a valuation:

Merger, Acquisitions, and Sales

We work with companies from the buy and sell side, assisting with complex merger issues such as valuation, transaction structuring, accounting and taxation.

Business Succession Planning

You have two critical questions; when can I retire as a business owner, and what happens to my company? By determining the value of your company, we can offer succession strategies to optimize the value of your business, determine the best exit strategy, and structure the transaction to maximize tax savings.

Valuations for Minority Interest Owners

If you own less than 50% of your business, then you may wish to have your minority interest valued. There are many reasons to do so, including gift and estate tax purposes, shareholder oppression situations, or admission of other minority interest partners, just to name a few.

Shareholder/Partner Buy-Sells

You’ve heard the story many times. A group of talented individuals start a business. Initially they contribute different assets to the company. The company grows and becomes successful. Unfortunately, dissention between the partners grows too. Some shareholders or partners have the foresight to structure a clear and concise buy-sell document at the start of their business. Others do not. We offer valuation services in these situations, and where practical, recommendations for an equitable solution.

Divorce

We prepare valuations for the spouse who is the business owner, the non-owning spouse, or, in some cases, both parties when they concurrently agree to engage our services.

Estate or Gift Tax Planning

Valuations are required in estates and gift planning. In some cases, fractional interests are conveyed through gifting. We prepare valuations that cover all IRS guidelines for estates and gifting.

Financing

Banks increasingly require valuations for business financing. The Small Business Administration (SBA) also requires valuations in some cases. Other financing arrangements, whether through a financial institution or private parties, often require a valuation with periodic updates. We offer valuation services to meet this need.

Employee Stock Ownership Plans (ESOPs) Valuations

The Department of Labor requires you to value the assets in your plan annually.  When the company sponsoring the ESOP is privately-held with no established trading market for its shares, we can perform the valuation necessary to determine the fair market value of the company shares.

 

NACVA's CVA/AVA designations are the only valuation credentials accredited by the National Commission for Certifying Agencies (NCCA).
